In partnership with Abu Dhabi Judicial Department, ADGM Courts offer a Notary Public service for all ADGM registered entities. ADGM Courts Notary Public is licensed and authorised by Abu Dhabi Judicial Department to notarise and attest documents.
Please note that the signatory of the Power of Attorney (POA) must possess a valid Emirates ID (except for GCC nationals) in order to proceed. If this requirement cannot be fulfilled, an alternative option would be to have the document notarised through the Ministry of Justice (MOJ). Should you wish to arrange a consultation, please send an email to [email protected]
This article outlines how Clara can support you with having a POA notarised by the ADGM Courts Notary Public.
Step 1: Collating of POA draft and Required Documents
You will need to provide the POA text prepared by your legal advisor in English (draft only in Word format), and we will arrange for it to be legally translated into Arabic.
During this stage, we will also request relevant supporting documents, such as passport copies of the appointed attorney(s), a company extract, or a copy of the subsidiary’s license, etc. Supporting documents may vary depending on the content of the POA.
Step 2: Resolution to Approve the POA
We will prepare a Board or Shareholder Resolution (Supporting Resolution), to approve and nominate a Director or Shareholder (POA Signatory) to sign the POA.
The POA will be attached to the Supporting Resolution, and both documents will be prepared in dual language.
Step 3: Signing of the POA and Resolution
We will provide the legally translated and stamped Supporting Resolution, along with a separate copy of the POA, for signing by the relevant signatories.
The Supporting Resolution can be signed via DocuSign on each page, while the POA must be signed in wet ink on each page (both English and Arabic section). Kindly provide us with a clear, coloured scanned copy of the signed POA .
Step 4: Stamping of Resolution and Issuance of Notary Pack by ADGM RA
Upon receipt of the signed POA and Supporting Resolution, the signed Supporting Resolution will be submitted to the ADGM Registration Authority (ADGM RA) for stamping as a true copy.
We will also arrange for the issuance of the Notary Pack, which includes the Declaration Letter addressed to the ADJD and a Notary Letter confirming the powers of the Directors, to be issued by the ADGM RA.
Step 5: Submission of the POA to the Notary
We will submit the signed POA, Supporting Resolution, Notary Pack, and supporting documents to the Notary for review and approval.
Kindly note that the review, comments, and approval of the application are solely at the discretion of the Notary.
Step 6: WebEx Appointment (video call) with Notary
Upon approval of the application, an appointment date will be scheduled via WebEx with the Notary.
The nominated POA Signatory will be required to attend the virtual appointment. A copy of the signed POA, along with the original Emirates ID and passport, must be on hand during the call for presentation to the Notary.
Step 7: Issuance of the Notarised POA
After the virtual appointment, we will liaise with the Notary to obtain the notarised POA, which is typically issued on the same day or the following working day.
Clara will provide you with a proposal for our services which will include the following:
Liaising with the Notary for approval
Preparing the Supporting Resolution
Translation of the Supporting Resolution, POA, and ancillary documentation for up to 3 amendments
Submission of the Supporting Resolution to ADGM for stamping (including ADGM filing fees
Obtaining the ADGM Notary Pack ahead of the notary appointment, including associated filing fees
Arranging the Notary appointment
ADGM Courts Notary Public fee
Abu Dhabi Judicial Department (ADJD) fee
The following is excluded from our fees unless you further request for our support in providing the following services:
Attestation or stamping fees by MOFA / Embassy etc
Other disbursements relating to courier, translations, or stampings not otherwise included in our scoping above.
Please note that the Notary Public will not notarise a company’s constitutional documents. Instead, Clara can apply on your behalf for a certified true copy of these documents from the ADGM Registration Authority.
