How to link your OpCo with your HoldCo

In order to link your operating company with your holding company, you will need to make the holding company the owner of all of the shares of the operating company.

Often founders will incorporate the operating entity before the set up the holding company. If this is the case, the shareholders of the operating entity will need to transfer their shares in the operating company to the holding company.

If you have not set up your operating company yet you can establish your holding company first and make this the sole shareholder of the operating entity instead.

In either case you will need to get pack of documents legalised for use in the jurisdiction of your operating company. Once the documents have been legalisation you will need to present them to the relevant authorities and enact the share transfer. The exact process and timeline varies from jurisdiction jurisdiction.
