All SPV’s and Foundations must use the office address of their Company Service Provider, as such if your entity falls under the SPV or Foundation category, we cannot file a change of registered office address for your entity.
If your entity is not an SPV or Foundation, we can file a change of registered office address with ADGM, please see the following requirements:
We would need to prepare a board resolution, which must be signed by the directors of the Company to approve the change of address. Our fee for this includes ADGM’s filing fee, with VAT applied in addition to the cost;
If the lease has not already been registered with ADGM, it must be registered before we can file the change of address. Our fee for registering a standard one-year lease includes ADGM's registration fee. For leases longer than one year, ADGM applies an additional charge per year, which will be reflected in our invoice;
If you are changing your registered office address partway through the lease period, we will also need to file an application to surrender the old lease with ADGM. Our fee for this includes ADGM’s surrender fee, with VAT applied in addition to the cost.
If you are changing your registered office address at the time of the licence renewal (i.e. your old lease has expired), then we will not charge additionally for the registration of the new lease as one lease registration is included in the annual renewal fee.
