How to start your Delaware company with Clara

To form a Delaware company through Clara, you need to provide some information about your startup, the founders, who will own the company, and their roles in the company. After you submit the information, we will process the incorporation. Please make sure everything is correct before submitting, you may need a lawyer to make changes subsequently.

We will ask for the following information:

  • Company Name: Enter the legal name for your new company.

  • Shareholders & Directors: The individuals who will become shareholders and directors of the new company.

  • Place of Business: Please indicate whether your principal place of operations is in the US or not.

  • Corporate Positions: Nominate one individual to be appointed the President, CEO, Treasurer and Secretary.

  • Share Capital: Decide how you will split the equity of the new company.

  • Residential Address: Please provide contact details and residential address of each shareholder and director.

Once submitted we will review and create the incorporation pack for signing, please allow 1 business day for this stage. Once the documents are signed, we will file the incorporation - please allow 1 to 3 business days for this to complete. You can track our progress on the dashboard.

Once incorporated, we will provide you with the following company documents:

  1. Certificate of Incorporation

  2. Bylaws

  3. Restricted Stock Purchase Agreements

  4. Share Certificates

  5. Initial Resolutions

We will be your Registered Agent for one year, this will renew after 12 months for a fixed fee.

You will also be able to generate a range of legal documents to protect, run and scale your startup on Clara.

Next you will need to consider if you would like to get Tax ID (EIN).
