What is a Non-Disclosure Agreement?
A Non-Disclosure Agreement (NDA), also known as a Confidentiality Agreement, is a contract you can enter between your startup and third parties that outlines the confidential information to be shared and the restrictions on how it can be used. NDAs are used in a variety of situations, from supplier and customer relationships to strategic partnerships, joint ventures and investments, acquisitions or sales.
What is included in the Clara NDA?
The NDA outlines that confidential information will be shared by one party to the other (known as a "one-way" NDA). It includes a term, allows for equitable relief and sets out the governing law and jurisdiction for settling disputes through the courts. It also includes an obligation on the recipient of confidential information to notify the discloser of any breach of the terms of the NDA (e.g. confidential information being disclosed to a third party without consent) that they become aware of.
