What information do I need to set up my DIFC Prescribed Company

This article outlines the information and documents you need to set up a DIFC Prescribed Company

We will need the following items from you to prepare the incorporation documents and application for your DIFC Prescribed Company

  1. Proposed name: If the name has a particular meaning, this must be disclosed. If there is an affiliation with a similarly named entity we will need the details, including the commercial licence.

  2. Purpose of the company: we will need information on the assets to be held or purpose of the prescribed company.

  3. Shareholders: who will be the incorporating shareholders and what is the split of shares between them. We will need their KYC.

  4. Funding Party: if the party funding the company being formed is not a shareholder, then we need to collect the KYC of the funding party.

  5. Ultimate Beneficial Owners (UBOs): If there will be an individual who has 25% or more ownership or voting rights in the DIFC entity indirectly through a corporate vehicle, we will need their KYC.

  6. Directors: who will be appointed as the director(s) and we will need their KYC. Unlike other jurisdictions in the UAE, only natural persons over the age of 18 can be appointed as a Director.

  7. Authorised Signatory: who will be appointed as the Authorised Signatory and we will need their KYC.

  8. Data Protection Contact: who will be the Data Protection Contact and we will need their KYC.

  9. Banking Authorities: If the company will open and operate a bank account, who will have signing authority?

  10. Financial Records: Clara will maintain the statutory records, but the day-to-day accounts will be held elsewhere. If the address is in the UAE, please provide a PO Box.

  11. CSP Appointment: Unless the DIFC Prescribed Company is an exempt PC, it will be required to appoint a Corporate Service Provider, such as Clara, as the CSP for the entity. The entity will use the registered office address of the CSP.
